By registering on JOBSEARCHDX.COM, by registering to complete the Job Search Diagnostic, by answering any question included in the Job Search Diagnostic, or by participating in any social media feature of JOBSEARCHDX.COM you agree to be legally bound and to abide by the terms set forth below.

JOBSEARCHDX.COM is owned and operated by JobSearchDx LLC. Any references herein to JOBSEARCHDX.COM shall be deemed to refer to JOBSEARCHDX.COM and/or JobSearchDx LLC, as applicable under the circumstances.

These and other JOBSEARCHDX.COM graphics, logos, service marks and trademarks of JobSearchDx LLC and its affiliates may not be used without the prior written consent of JobSearchDx LLC or its affiliates, as the case may be. All other trademarks, product names, and company names and logos appearing on JOBSEARCHDX.COM are the property of their respective owners.

II.       DISCLAIMERS AND LIMITATION OF LIABILITY

You expressly agree that use of JOBSEARCHDX.COM is at your sole risk. Neither JobSearchDx LLC nor its affiliates nor any of their members, managers, officers, directors, employees, agents, third-party content providers, merchants, advertisers, sponsors, or affiliates (collectively “Providers”), or the like, warrant that JOBSEARCHDX.COM will be uninterrupted or error free, nor do they make any warranty as to the results that may be obtained from the use of JOBSEARCHDX.COM, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through JOBSEARCHDX.COM.

IN NO EVENT SHALL JOBSEARCHDX.COM OR ITS AFFILIATES BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH JOBSEARCHDX.COM, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE JOBSEARCHDX.COM, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH JOBSEARCHDX.COM ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE IN THE CONTENT, EVEN IF JOBSEARCHDX.COM OR ITS AFFILIATES HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental, consequential or certain other types of damages, so the exclusions set forth above may not apply to you.
    

Internet Delays.  JOBSEARCHDX.COM'S SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS.  JOBSEARCHDX.COM IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS. 

Links to Third Party Sites.  This web site contains links to third party sites. These links are provided for convenience purposes and are not under the control of JOBSEARCHDX.COM. If you choose to link to such third party web sites, JOBSEARCHDX.COM makes no warranties, either expressed or implied, concerning the content of such sites, including the operations, programming and conduct of transactions over such sites. JOBSEARCHDX.COM does not warrant that such sites or content are free from any claims of copyright or other infringement or that such sites or content are devoid of viruses.  Local Laws and Export Control.  This site provides services and uses software and technology that may be subject to United States export controls administered by the U.S. Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, and other U.S. agencies and the export control regulations of Switzerland and the European Union. All Content is copyrighted as a collective work under the U.S. copyright laws, and JOBSEARCHDX.COM owns a copyright in the selection, coordination, arrangement, and enhancement of such Content. You may not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Content, in whole or in part. If no specific restrictions are displayed, you may make copies of select portions of the Content, provided that the copies are made only for your personal use and that you maintain any notices contained in the Content, such as all copyright notices, trademark legends, or other proprietary rights notices. Neither JOBSEARCHDX.COM, nor its affiliates, nor any of their respective members, managers, officers, directors, employees, agents, Providers, or the like, will be liable for any damage resulting from any infringement of copyrights or proprietary rights, or from any other harm arising from any submission you may make to this Website.

JOBSEARCHDX.COM neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on JOBSEARCHDX.COM by anyone other than authorized JOBSEARCHDX.COM employees. Upon becoming aware of any Content is inaccurate or incomplete, or in violation of these Terms and Conditions of Use in any way, JOBSEARCHDX.COM may remove the relevant Content from this Website in its sole discretion and without prior notice to you.  Under no circumstances shall JOBSEARCHDX.COM, or its affiliates, or any of their respective members, managers, officers, directors, employees or agents be liable for any loss, damage or harm caused by your reliance on information or Content obtained through JOBSEARCHDX.COM. It is your responsibility to evaluate the information, opinion, advice, or other Content available through JOBSEARCHDX.COM.

D.       OWNERSHIP OF CONTENT AND THIRD-PARTY CONTENT

You and JOBSEARCHDX.COM hereby agree that:

·                  JOBSEARCHDX.COM alone (and its affiliates, where applicable) shall own all right, title and interest, including all related intellectual property rights such as copyright throughout the world and moral rights, to JOBSEARCHDX.COM’s software and other technology, any Content created by JOBSEARCHDX.COM or posted by JOBSEARCHDX.COM to this Website, and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to JOBSEARCHDX.COM, its products and services; and

·                  You alone shall own all right, title and interest, including all related intellectual property rights such as copyright throughout the world and moral rights, to Content created and/or submitted by you to any portion of this Website, including but not limited to blogs, chat rooms, discussion boards, and other JOBSEARCHDX.COM Social Media (as defined in Section IV of these Terms and Conditions of Use);

provided, however, that by submitting Content to any area of this Website, including without limitation any participation in any blogs, chat rooms, discussion boards, and other Social Media venues, you automatically grant, or warrant, that the creator and/or owner of such Content has expressly granted JOBSEARCHDX.COM the royalty-free, perpetual, irrevocable, nonexclusive right and license to use, reproduce, publish, translate, sublicense, copy and distribute the Content in whole or in part worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such Content, without compensation of any kind or you or the creator or owner of such Content. You also permit any other registered user of JOBSEARCHDX.COM to access, store, or reproduce the Content for that user's personal use.   Subject to this grant, the creator and/or owner of Content placed on JOBSEARCHDX.COM retains any and all rights which may exist in such Content.

E.       NOTICE AND TAKEDOWN PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT (NOTICE REQUIRED BY THE DIGITAL MILLENNIUM COPYRIGHT ACT OF 1998, AS AMENDED)

If you believe copyrighted work is available on this Website in a way that constitutes copyright infringement, you may notify us at copyright@jobsearchdx.com.

Your written notification (the "Notification") must include substantially all of the following:

a. Identification of the copyrighted work that is the subject of the claimed infringement or, if multiple copyrighted works are involved, a representative list of such works;

b. Identification of the allegedly infringing material, together with information reasonably sufficient to permit JOBSEARCHDX.COM to locate such material;

c. Information reasonably sufficient to permit JOBSEARCHDX.COM to contact you, such as your name, address, telephone number and email address;

d. A statement by you that you have a good faith belief that the copyrighted work identified in the Notification is being used in a manner that is not authorized by the copyright owner, its agent or the law;

e. A statement by you, signed under penalty of perjury, that the information contained in the Notification is accurate and that you are authorized to act on behalf of the owner of the copyrighted work that is allegedly being infringed; and

f. A physical or electronic signature of the owner of the copyrighted work or a person authorized to act on its behalf.

Upon receipt of a Notification containing substantially all of the foregoing, JOBSEARCHDX.COM will take the following steps:

a. Remove or disable access to the allegedly infringing material;

b. Forward the Notification to the alleged infringer (the "Impacted Party"); and

c. Take reasonable steps to promptly notify the Impacted Party that JOBSEARCHDX.COM has removed or disabled access to the allegedly infringing material.

The Impacted Party may submit a counter notification in writing to the above-referenced designated agent of JOBSEARCHDX.COM. The written counter notification (the "Counter Notification") must include substantially all of the following:

a. Identification of the allegedly infringing material that was removed or disabled by JOBSEARCHDX.COM and the location where the material appeared before it was removed or access to it was disabled;

b. A statement under penalty of perjury that the Impacted Party has a good faith belief that the allegedly infringing material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;

c. The Impacted Party's name, address and telephone number and a statement that the Impacted Party consents to the jurisdiction of the United States federal district court for the judicial district in which the address provided by the Impacted Party is located and will accept service of process from you. If the Impacted Party is located outside the United States, the Impacted Party must include a statement that it consents to the jurisdiction of any United States federal district court in which JOBSEARCHDX.COM may be found; and

d. A physical or electronic signature of the Impacted Party.

Upon receipt of a Counter Notification containing substantially all of the foregoing, JOBSEARCHDX.COM will take the following steps:

a. Send you a copy of the Counter Notification;

b. Inform you that it will replace the allegedly infringing material or cease disabling access to it within ten (10) business days; and

c. Replace the removed allegedly infringing material or cease disabling access to it not less than ten (10) nor more than fourteen (14) business days following receipt of the Counter Notification; provided you have not supplied the designated agent with evidence that you have filed an action seeking a court order to restrain the Impacted Party from engaging in the infringing activity that was the subject of the Notification.

JOBSEARCHDX.COM's policy is to terminate the online privileges of individuals who violate the copyrights of others. Use of copyrighted material without the author’s express permission may result in termination of your usership in JOBSEARCHDX.COM, and may lead to civil and criminal penalties.

IV.      SOCIAL MEDIA GUIDELINES

1.       Policy Purpose: This policy governs interactions by registered users on JOBSEARCHDX.COM - controlled interactive media available on this Website including, but not limited to, blogs, pages, feeds, channels, and other means of interactive communication (collectively, “JOBSEARCHDX.COM Social Media”). JOBSEARCHDX.COM Social Media are NOT private nor protected sites and can be viewed by members of the public. They should NOT be used to get help about your specific JOBSEARCHDX.COM account. If you wish to speak to someone about your JOBSEARCHDX.COM account or transaction, please call our customer service representatives, who will be happy to help you. You can reach them by emailing support@jobsearchdx.com.

2.       Policy Application: This policy applies to all registered users and other users of JOBSEARCHDX.COM Social Media, including employees and third parties.

3.       Posting of Personal, Private and/or Confidential Information Prohibited.

JOBSEARCHDX.COM Social Media is generally available to the public. THE POSTING OF PERSONAL, PRIVATE, AND/OR CONFIDENTIAL INFORMATION, WHETHER IT IS APPLICABLE TO YOU OR ANOTHER PARTY, SUCH AS ADDRESSES, TELEPHONE NUMBERS, ACCOUNT INFORMATION, PASSWORDS, BALANCES, ETC. ON ANY JOBSEARCHDX.COM SOCIAL MEDIA IS STRICTLY PROHIBITED AND YOU AGREE THAT YOU WILL NOT DO SO. JOBSEARCHDX.COM is not responsible for anything that may occur if you post your own or a third party’s personal, private, and/or confidential information to JOBSEARCHDX.COM Social Media. Further, you agree that you are responsible for any damages that may result from your posting any personal, private, and/or confidential information about yourself or a third party. If you have any doubt whether information you are about to post could be confidential, DO NOT POST IT.

4.       Discussion Guidelines

We are pleased that you are part of our community and encourage you to participate in the conversation with your own experiences, ideas, suggestions and opinions. To keep the discussion on track and appropriate for everyone, we request that you follow these guidelines.

Your postings must not contain the following:

·                  Securities/Investor Relations-Related Content. Forward-looking content or comments related to JOBSEARCHDX.COM or other companies which speak to stock price, financial health or outlook, obligations to investors, or other Investor Relations-related responsibilities;

·                  Confidential Content. Content which discloses any confidential or non-public third party information which you do not have permission and/or authority to disclose;

·                  Disparaging Content.  Content that disparages any person or entity, including JOBSEARCHDX.COM and any entity affiliated with JOBSEARCHDX.COM, and/or any of their respective products or services, and/or any of your present or former employers;

·                  Commercial Content.  Content that purports to market, sell, advertise, promote or otherwise offer for sale, lease or license, goods or services unless approved in advance and in writing by JOBSEARCHDX.COM;

·                  Health Care Content.  Content offering advice on health care matters which can only be given by a doctor, nurse, chiropractor, or other qualified health care provider or practitioner licensed to practice such profession in the state where a recipient resides or has his/her principal place of business – information and Content available on JOBSEARCHDX.COM should not be used to make diagnoses, administer treatment, prescribe medication or order tests.;

·                  Content Contrary to Law or Public Policy.  Content relating to matters, including but not limited to assisted suicide, that are contrary to law, regulation or public policy in any of the United States, Switzerland, or members of the European Union.

 

·                  Infringing Content. Content that violates or infringes the rights of any person or entity including, but not limited to, privacy, publicity and/or intellectual property rights, including the copyrights and brand rights of JOBSEARCHDX.COM and/or of third parties;

·                  Hateful Content. Content that is hateful, tortious, defamatory, slanderous, libelous, or obscene;

·                  Discriminatory Content. Content that promotes bigotry, racism, sexism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

·                  Spam. We observe and enforce a zero-tolerance policy for posting sales pitches for outside products or services or posting comments that drive traffic to a third party’s website (including for personal, political or monetary gain).



All decisions regarding whether a posting violates these guidelines will be made by JOBSEARCHDX.COM, in its sole and absolute discretion. JOBSEARCHDX.COM reserves the right to remove any posting, whether created by JOBSEARCHDX.COM, an employee, a registered user, or a third party, at any time, for any reason, without notice or explanation.


5.       Your Representations by Posting

By posting, you are representing that you have the right to post the Content contained in your message and have obtained any necessary permission and clearances.

6.           Postings by Third Parties, Including Employees

JOBSEARCHDX.COM does not endorse any comments made by third parties, including its employees, unless they are specifically authorized spokespersons for JOBSEARCHDX.COM.

7.           Validation of Assertions Made in Comments

JOBSEARCHDX.COM does not validate assertions or statements made by third parties. All statements and viewpoints expressed in the comments are strictly and solely those of the commenter and do not necessarily represent the viewpoints, positions, strategies or opinions of JOBSEARCHDX.COM, its management or its affiliates.

V.       TERMINATION OF YOUR MEMBERSHIP PRIVILEGES

          These Terms and Conditions of Use constitute a binding legal contract between you and JOBSEARCHDX.COM, and shall be effective immediately upon your registration as a user of JOBSEARCHDX.COM, and will continue for a period of one (1) year (the “Initial Term”).   Upon the expiration of the Initial Term, these Terms and Conditions of Use will automatically renew for successive renewal terms equal in duration to the Initial Term at JOBSEARCHDX.COM's then current fees.  In addition to any other rights granted to JOBSEARCHDX.COM herein, JOBSEARCHDX.COM reserves the right to suspend or terminate these Terms and Conditions of Use and your access to this Website if your account becomes delinquent (falls into arrears).  JOBSEARCHDX.COM reserves the right to impose a reconnection fee in the event you are suspended and thereafter request access to JOBSEARCHDX.COM. 

          Any breach of your payment obligations or unauthorized use of the JOBSEARCHDX.COM Website will be deemed a material breach of these Terms and Conditions of Use.  JOBSEARCHDX.COM, in its sole discretion, may terminate your password, account or use of JOBSEARCHDX.COM if you breach or otherwise fail to comply with these Terms and Conditions of Use. In addition, JOBSEARCHDX.COM may terminate a free account at any time in its sole discretion. You agree and acknowledge that JOBSEARCHDX.COM has no obligation to retain any Content posted by you to this Website, and may delete such Content if you have materially breached these Terms and Conditions of Use, including but not limited to failure to pay outstanding fees, and such breach has not been cured within 30 days of notice of such breach.
